\n This End User License Agreement forms part of your agreement with O&O Software GmbH.\n <\/p>\n\n

\n This End User License Agreement (EULA) forms part of your agreement with O&O Software GmbH, B\u00fclowstra\u00dfe 66, 10783 Berlin, and becomes effective upon acceptance of these license terms. The software product is protected by copyright laws and international copyright treaties, as well as by other laws and agreements on intellectual property.\n <\/p>\n <\/div>\n\n

\n\n
\n \n 01<\/span>\n Subject matter and form of delivery<\/span>\n <\/span>\n <\/summary>\n\n
\n

(1) You receive the software covered by the agreement in executable form (object code) together with the documentation released by O&O for this purpose. In addition, you receive access to our services and the product portal that we provide on the internet in connection with the software.<\/p>\n

(2) The software has the functionality specified in the documentation. You can review this functional documentation before concluding the agreement on this website at www.syspectr.com<\/a>.<\/p>\n

(3) Depending on how you acquired the software, delivery is made either by handing over or shipping a data carrier to the delivery address you provided, or by transmitting license information and, where applicable, download information to the delivery email address you provided.<\/p>\n

(4) If you receive updates under a maintenance agreement, these updates will be offered to you electronically for download by us.<\/p>\n

(5) Changes to the delivery address or delivery email address will only be taken into account for update deliveries if they are communicated in good time, at least two weeks before the update delivery, either in writing or by email to the specified address or email address.<\/p>\n

(6) A printed copy of the documentation is not supplied. The documentation essentially consists of electronic help files.<\/p>\n <\/div>\n <\/details>\n\n

\n \n 02<\/span>\n Requirements for use<\/span>\n <\/span>\n <\/summary>\n\n
\n

(1) Installation of the software is not part of the agreement.<\/p>\n

(2) Depending on the software, certain system requirements must be met in order for the software to be usable in accordance with the agreement. These are defined separately for the respective product in the special part of this agreement.<\/p>\n <\/div>\n <\/details>\n\n

\n \n 03<\/span>\n Usage rights, trial versions, and restrictions on transfer\/use<\/span>\n <\/span>\n <\/summary>\n\n
\n

(1) Upon payment of the agreed one-time fee, O&O grants you a non-exclusive, geographically unrestricted right to use the software permanently.<\/p>\n

(2) Trial versions: If you have installed a trial version of one of our products from the O&O website, this usage right is limited in time and\/or technically restricted in accordance with the information provided at the time of contract conclusion.<\/p>\n

(3) One copy of the software entitles you to use it on a maximum of one output device\/workstation at the same time. In the free version, the software may be used on any number of devices up to the technical limit specified by the product.<\/p>\n

(4) If you wish to use the software on more than one output device\/workstation, the usage right must be extended accordingly. For a free version, the extension of the usage right applies implicitly and may be installed on the maximum possible number of devices.<\/p>\n

(5) Any use beyond the contractually agreed scope constitutes a breach of contract. In this case, you are obliged to notify the provider immediately of the excessive use.<\/p>\n

(6) You are entitled to create one backup copy of the software and to perform everyday data backups. Further copies are not permitted.<\/p>\n

(7) Copyright and other proprietary notices within the software may neither be removed nor modified. They must be transferred to every copy of the software.<\/p>\n

(8) O&O reserves the right to use data relating to the use of the product, the services, and the product portal in anonymized form in order to continuously improve these services.<\/p>\n

(9) Prohibition of transfer: Only if you purchased the software with a data carrier are you entitled to transfer it under certain conditions.<\/p>\n

(10) Prohibition of rental and service provision: This agreement does not grant you the right to publicly reproduce or rent out the software.<\/p>\n

(11) O&O reserves the right to discontinue the service and therefore the product portal as well as associated applications or apps at any time. There is no entitlement to continuation of the service.<\/p>\n <\/div>\n <\/details>\n\n

\n \n 04<\/span>\n Remuneration<\/span>\n <\/span>\n <\/summary>\n\n
\n

(1) The prices stated include statutory VAT unless otherwise indicated.<\/p>\n

(2) \u201cFreeware\u201d: O&O offers products as \u201cfreeware\u201d that are generally free of charge. No fee is or may be charged for these products.<\/p>\n

(3) Trial versions: Trial versions offered by O&O for download are free of charge unless otherwise stated.<\/p>\n

(4) If you receive updates for your programs under a maintenance agreement, the remuneration provisions in those agreements apply to such maintenance agreements.<\/p>\n

(5) O&O is entitled to forward the data transmitted to it to third parties insofar as this is necessary for debt collection.<\/p>\n

(6) Until full payment has been made, O&O reserves all rights, in particular copyright usage rights, to the contractual items.<\/p>\n <\/div>\n <\/details>\n\n

\n \n 05<\/span>\n Material defects and defects of title<\/span>\n <\/span>\n <\/summary>\n\n
\n

(1) With the software package or download, you receive the software free from material defects and defects of title.<\/p>\n

(2) A material defect exists if the software is not suitable for the use described in the documentation.<\/p>\n

(3) A defect of title exists if the rights required for the contractually intended use have not been effectively granted after delivery of the software.<\/p>\n

(4) Claims due to material defects and\/or defects of title in the software generally become time-barred two years after delivery of the programs or transmission of the serial number. For merchants, the warranty period is reduced to one year.<\/p>\n

(5) You are obliged to report defects to O&O immediately after discovering them and, where possible, in writing.<\/p>\n

(6) If defects are reported to O&O during the limitation period, O&O will provide supplementary performance free of charge.<\/p>\n

(7) As part of supplementary performance, the corrected software will be delivered to you again in the agreed manner. Error analysis and rectification on your system on site will not take place.<\/p>\n

(8) After unsuccessful expiry of a deadline set by you for supplementary performance, you may withdraw from the agreement or reduce the purchase price.<\/p>\n

(9) Setting a deadline is not required under certain circumstances, in particular if O&O refuses supplementary performance, if it is impossible or unreasonable, or if it has failed.<\/p>\n

(10) You are not entitled to withdraw if the defect is insignificant.<\/p>\n

(11) In the event of withdrawal, any benefits derived must be compensated.<\/p>\n

(12) Through reduction, the purchase price is reduced by the amount by which the defect reduces the value of the software.<\/p>\n

(13) If it turns out that a reported problem is not attributable to a defect in the software, O&O is entitled to charge the expenses incurred if intent or gross negligence can be attributed.<\/p>\n

(14) The warranty obligation does not apply if changes are made to the software without express written approval or if the software is used other than as intended.<\/p>\n <\/div>\n <\/details>\n\n

\n \n 06<\/span>\n Limitation of damages<\/span>\n <\/span>\n <\/summary>\n\n
\n

(1) O&O is liable for damages on any legal basis in accordance with the following provisions.<\/p>\n

(2) Liability for damage caused intentionally or through gross negligence is unlimited in amount.<\/p>\n

(3) In the case of damage resulting from injury to life, body, or health, liability is also unlimited in the event of simple negligent breach of duty.<\/p>\n

(4) Liability is also unlimited for damage attributable to serious organizational fault, as well as for damage caused by the absence of a guaranteed quality.<\/p>\n

(5) In the event of a breach of essential contractual obligations, O&O\u2019s liability is limited to the typically foreseeable damage.<\/p>\n

(6) Any further liability for damages is excluded, in particular strict liability.<\/p>\n

(7) Liability under the Product Liability Act remains unaffected.<\/p>\n

(8) If damage is attributable both to fault on the part of O&O and to your own fault, your contributory negligence must be taken into account. You are responsible for regularly backing up your data at least once per day.<\/p>\n <\/div>\n <\/details>\n\n

\n \n 07<\/span>\n Final provisions<\/span>\n <\/span>\n <\/summary>\n\n
\n

(1) You may only offset claims by O&O with undisputed or legally established claims.<\/p>\n

(2) Amendments and additions to this agreement must be made in writing. This also applies to amendments to these provisions.<\/p>\n

(3) The agreement is governed by German law. The United Nations Convention on Contracts for the International Sale of Goods and the UNIDROIT Convention on International Factoring of Ottawa do not apply.<\/p>\n

(4) Any general terms and conditions provided by you do not apply.<\/p>\n

(5) If you are a merchant or do not have your registered office in the Federal Republic of Germany, we agree that the Regional Court of Berlin shall be the competent court for disputes arising from this agreement.<\/p>\n <\/div>\n <\/details>\n\n
